1. Services

QNYNE provides professional digital solutions, including but not limited to:

• Website Development
• E-commerce Development
• Custom Web Applications
• Mobile Application Development
• AI Automation Solutions
• Custom Software Development
• Website Maintenance & Support
• Technical Consultation
• Other digital solutions introduced in the future

The availability of specific services may change without prior notice.

2. User Accounts

Certain features, including the Client Dashboard, require account registration.

By creating an account, you agree to:

• Provide accurate and complete information.
• Maintain the confidentiality of your login credentials.
• Be responsible for all activities conducted through your account.
• Notify QNYNE immediately of any unauthorized account access.

QNYNE reserves the right to suspend or terminate accounts found to be involved in fraudulent, abusive, or unlawful activities.

3. Project Quotations & Scope

Every project begins with a consultation, proposal, or quotation.

The approved quotation defines:

• Project scope
• Deliverables
• Estimated timeline
• Pricing
• Payment schedule

Any request outside the approved scope shall be treated as additional work and may require a revised quotation and additional charges.

4. Payment Terms

• To initiate any development project, 50% of the total project value must be paid in advance unless otherwise agreed in writing.
• Project work will commence only after the advance payment has been successfully received and confirmed.
• The remaining balance shall be paid according to the agreed project milestones or before the final delivery of the completed project.
• Failure to make payments on time may result in delays, temporary suspension, or termination of project work.
• All applicable taxes, including GST where required, shall be charged separately unless otherwise stated.

5. Invoice Policy

• Upon successful payment confirmation, registered clients will receive a digital invoice.
• Invoices are automatically generated and made available for download through the QNYNE Client Dashboard.
• Clients are responsible for retaining copies of their invoices for accounting, taxation, and business records.

6. Project Timeline

Estimated project timelines are provided based on the agreed scope and available information.

Project completion may be affected by:

• Delayed client approvals
• Delayed content or material submission
• Scope changes
• Third-party service delays
• Technical issues beyond reasonable control

QNYNE shall make reasonable efforts to deliver projects within the estimated timeframe but does not guarantee exact completion dates.

7. Client Responsibilities

Clients agree to:

• Provide all required content, images, branding materials, and information in a timely manner.
• Ensure that all supplied materials are legally owned or properly licensed.
• Review submitted work promptly.
• Provide approvals and feedback without unnecessary delays.
• Cooperate throughout the project lifecycle.

Delays caused by the client may affect the project schedule.

8. Intellectual Property

Unless otherwise agreed in writing, all work created by QNYNE remains the property of QNYNE until full payment has been received.

Upon full payment, ownership of the final approved deliverables shall transfer to the client, excluding:

• Internal development frameworks
• Reusable code libraries
• Proprietary tools
• Templates
• Development methodologies
• Third-party licensed software

These remain the intellectual property of QNYNE or their respective owners.

9. Third-Party Services

Projects may involve third-party services such as:

• Domain Registrars
• Web Hosting Providers
• Payment Gateways
• APIs
• Plugins
• Cloud Platforms
• External Software Providers

QNYNE is not responsible for service interruptions, pricing changes, policy updates, security incidents, or technical failures caused by third-party providers.

10. Limitation of Liability

To the maximum extent permitted by applicable law, QNYNE shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of our services.

Our total liability, if any, shall not exceed the amount actually paid by the client for the specific service giving rise to the claim.

11. Termination

QNYNE reserves the right to suspend or terminate services if:

• Payment obligations are not fulfilled.
• The client provides unlawful or infringing content.
• The client engages in abusive, threatening, or fraudulent behavior.
• Continued performance of the project becomes impractical due to circumstances beyond reasonable control.

Termination shall not affect any outstanding payment obligations.

12. Changes to These Terms

QNYNE may revise these Terms & Conditions from time to time to reflect changes in our services, business practices, or legal requirements.

The updated version will be published on our website with a revised "Last Updated" date. Continued use of our services after such changes constitutes acceptance of the revised Terms.

13. Governing Law

These Terms & Conditions shall be governed by and interpreted in accordance with the laws of India.

Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the competent courts located in the jurisdiction of QNYNE's registered business address, unless otherwise required by applicable law.
